The Company will do Buyback with equity of 1,00,00,000 Equity Shares around 4.50% of Face Value ₹1/ Each Fully paid off at a Price Of ₹28/- Per Equity. The size of this Buyback is about ₹28 Crores. And this will be done through a Buyback Tender offer.
Shyam Century Ferrous Limited is engaged in manufacturing Ferro Alloys like Ferro Silicon and generation of Power mainly in North-Eastern India. The Company is in the production of Ferro-Silicon one of the major raw ingredients of Stainless Steel and small quantities in Mild Steel i.e. MS Steel. In Mild Steel it is used as reductant while in Stainless Steel it is used as a grain refiner that enhances the brightness.

The Company has a plant located at Byrnihat Meghalaya near Guwahati with a production capacity of around 21600 MT approx of ferro-silicon annually. The plant has also a captive power generation unit with an installed capacity of 14 MW approx. The Company is selling product across India.
Necessity of the Issue :
- The Buyback will help the Company to distribute surplus cash to its shareholders holding equity shares broadly in proportion to their shareholding, thereby, enhancing the overall return to shareholders.
- The Buyback would help in improving return on equity, by reduction in the equity base, thereby leading to long term increase in shareholders’ value.
- The Buyback would help in optimizing the capital structure.
